Terms & Conditions
1. Scope
These General Terms and Conditions ("Terms") apply to all compliance coordination, documentation and related services provided by K&K Connex j.d.o.o. ("K&K Connex", "we") to business clients ("Client"). These Terms apply exclusively to business-to-business (B2B) relationships; K&K Connex does not offer its services to consumers.
2. Services
K&K Connex coordinates cross-border employment compliance processes for companies posting workers to Germany, Austria and the Netherlands, including documentation coordination with SOKA-BAU, BUAK, ZKO3 and WagwEU frameworks, and — as an additional service — introductions to construction projects and subcontractors.
K&K Connex j.d.o.o. is not a law firm or tax consultancy. We do not provide legal or tax advice. Where a matter requires legal or tax advice, we work together with independent, qualified tax advisors and lawyers; any such advice is provided by those third parties under their own responsibility, not by K&K Connex.
The exact scope of services for each engagement is defined in a separate offer, order confirmation or service agreement agreed individually with the Client.
3. Conclusion of Contract
A contract between K&K Connex and the Client is concluded upon written confirmation of an individual offer or order (including by email), or upon signature of a separate service agreement. General inquiries submitted through the website's contact form do not by themselves constitute a binding contract.
4. Client's Obligations to Cooperate
The Client shall provide all information, documents and access required for K&K Connex to perform the agreed services completely, accurately and in a timely manner. K&K Connex is not liable for delays or errors resulting from incomplete, incorrect or late information provided by the Client.
5. Fees & Payment Terms
Fees for the services provided by K&K Connex, together with the applicable invoicing schedule, payment deadlines, payment currency and any charges for late payment, are agreed individually for each engagement in the relevant offer, order confirmation or service agreement. Unless a specific payment deadline is agreed for an engagement, statutory provisions on the due date of payment and the consequences of default apply, including statutory default interest and compensation for recovery costs in commercial transactions.
6. Confidentiality
Both parties undertake to treat as confidential all business and operational information marked as confidential or clearly recognizable as such, and not to disclose it to third parties without prior consent, except where disclosure is required by law or necessary to perform the agreed services (e.g. to relevant authorities or partner tax advisors).
7. Liability
K&K Connex performs its coordination and documentation services with due care. K&K Connex is liable without limitation for damages resulting from intent or gross negligence, and for damages arising from injury to life, body or health.
For damages resulting from ordinary (slight) negligence, K&K Connex is liable only in the event of a breach of a material contractual obligation (an obligation whose fulfilment is essential to the proper performance of the contract and on whose observance the Client may reasonably rely). In such cases, liability is limited to the damage that is typical and foreseeable for this type of contract, and in any event capped at the total fees paid by the Client to K&K Connex for the specific service giving rise to the claim during the twelve (12) months preceding the event giving rise to liability. Any further liability for ordinary negligence is excluded, to the extent permitted by law.
K&K Connex is not liable for decisions, filings or omissions made directly by the Client, by authorities, or by independent third parties such as tax advisors or lawyers engaged in connection with the services.
8. Term & Termination
Unless otherwise specified in the individual service agreement, each engagement runs for the period required to complete the agreed services. Where services are provided on an ongoing or framework basis, either party may terminate the engagement in writing with one month's notice to the end of a calendar month. The right of either party to extraordinary termination for good cause, in particular in the event of a material breach of these Terms or of the individual agreement, remains unaffected.
9. Governing Law & Jurisdiction
These Terms and all contracts concluded under them are governed by the laws of the Republic of Croatia, excluding its conflict-of-law rules.
The place of jurisdiction for all disputes arising out of or in connection with contracts governed by these Terms is Zagreb, Croatia, to the extent legally permissible. This does not affect any mandatory statutory place of jurisdiction.
10. Final Provisions
Should any provision of these Terms be or become invalid, the validity of the remaining provisions shall not be affected. Amendments and supplements to these Terms require written form. There are no verbal side agreements.
